Introduction

Thank you for choosing WPS Docs Online Service! This Agreement is a valid and legally binding contract made and entered into by and between you and/or the organization you represent and WPS Office in regard to the use of the WPS Docs Online Service (collectively referred to as the “Service”). If you use the Service on behalf of the organization, you must confirm that: (1) you have been fully authorized by the organization, and the organization recognizes your acts as the organization’s acts, i.e., the organization recognizes and complies with all of the contents of this Agreement you agree to comply with; (2) all users have acknowledged, confirmed and agreed that they shall comply with all of the contents of this Agreement in relation to them. Before you and/or the organization you represent use the Service, it is essential to understand the Service and our expectations of you and/or the organization you represent, and we will endeavor to fully present the contents of this Agreement to you and/or the organization you represent in plain language to the extent possible, and we also hope that you and/or the organization you represent will take the time to familiarize yourself with the terms of this Agreement.

We hereby remind you that there are terms that are (potentially) material to the rights and interests of you and/or the organization you represent in this Agreement, which we have highlighted them in bold to draw the attention of you and/or the organization you represent, please take special note of them. You and/or the organization you represent should use the Service only if you and/or the organization you represent acknowledge that you and/or the organization you represent have fully read and clearly understand the terms and conditions in bold of this Agreement.

Unless you and/or the organization you represent agree to all the terms of this Agreement, you and/or the organization you represent shall not have the right to log in or use any WPS Docs Online Service. If you log in, open and use the Service to view, edit, save, upload, download, share, publish or otherwise process documents in a reasonable and lawful manner, it will be deemed that you and/or the organization you represent agree to all of the terms of this Agreement and agree to be bound by them.

If you do not have full capacity for civil conduct due to factors such as age or intelligence, please read and determine whether to agree to this Agreement in the presence of your parents or other guardians.

For your clear understanding of this Agreement, the following terms shall have the meaning set forth below:

1.
“WPS Office” / “We”shall mean Zhuhai Kingsoft Office Technology Co., Ltd.
2.
“WPS Office Online Service Account” shall mean the account you use to log into the Service, including but not limited to, WPS account, QQ account, WeChat account, Sina Weibo account, Xiaomi account and other accounts that may be added in the future. The WPS account is provided by Zhuhai Kingsoft Office Software Co., Ltd., one of our affiliates, i.e., an account you will obtain after you complete the registration at https://account.wps.cn/v1/signup 【https://account.wps.cn/v1/signup】 ; the third-party accounts are provided by parties other than us and our affiliates. An account may be used by one user only, which account may access his/her personal document storage space that the user obtains in registering for the WPS Office Online Service Account in his/her personal name, and join one or more organization accounts (the number of organization accounts that an account may join shall be subject to the instructions on the relevant page when using the Service) and access the document storage space allocated to him/her by the organization account. The organization account includes administrator account and member account, an administrator account shall mean a WPS Office Online Service Account which has the authority as a administrator, and the details of such authority may be found at 【https://work.wps.cn/companypage】 companypage after logging into the administrator account. A member account shall mean a WPS Office Online Service Account that agrees to join the organization account upon the invitation of the administrator account.
3.
“Organization” shall mean a legal person or an entity that does not have legal personality but is legally established and owns certain property to bear legal liabilities, including but not limited to government agencies, enterprises and institutions, partnerships, social groups and other organizational users. For the purpose of the Service, each organization will be assigned a unique organization ID, which is the unique identification of the organization in relation to the Service (hereinafter referred to as the “Organization Account”) and corresponds to the name of the organization.
4.
“Team” shall mean a collaboration group that is established by you or into which you are invited to join. For the purpose of the Service, each team for a specific service shall have a team account, corresponding to the name of each team.
5.
“You” shall mean a natural person who registers, subscribes, renews or add subscriptions to, or uses the Service on his/her own account or on behalf of the organization with the authorization of the organization, and who has full capacity for civil rights and capacity for civil conduct appropriate to the civil conduct that is carried out by him/her.
6.
“User” shall mean a natural person who, as assigned by you or the organization you represent, is entitled to use the Service and has full capacity for civil rights and capacity for civil conduct appropriate to the civil conduct that is carried out by him/her. For the avoidance of doubt, it is hereby clarified that “you” may use the Service in two different capacities, including the capacity as an individual user who uses the Service as an individual and the capacity as an organizational user who is invited by an organization to join and use the Service.
7.
“User Data”shall mean all data provided to us by the User in the course of using the Service, including all documents, software, image files, etc.
8.
“Document Storage Space” shall mean the virtual cloud storage space in the network, the size of which is the cumulative size of the files that may be stored in that space. The document storage space includes personal document storage space, team document storage space and organization document storage space. The personal document storage space refers to the document storage space that an user owns when he/she obtains the WPS Office Online Service in his/her personal name, and the user shall have the complete and independent authority to administer his/her personal document storage space; the team document storage space refers to the document storage space that may be used under a team account, and the total size of the team document storage space is subject to the size as indicated on the specific service page; if the existing document storage space cannot meet the needs of you and/or your Team, you and/or your Team may increase the size of the team document storage space separately in any other way (if any) provided on the service page based on the existing service package, and WPS Office does not warrant that each specific team collaboration service may increase the size of the team document storage space separately, and the team administrator account shall have the whole/partial authority to administer the team document storage space in the team account and the documents stored therein; the organization document storage space refers to the document storage space that may be used under the Organization Account, and the total size of the organization document storage space shall be “the average size of the document storage space of each person in the specific service package of the Service to which you and/or the organization you represent subscribes * the maximum number of accounts for the Users that may be opened under the Organization Account”. The organization administrator account shall have the whole/partial authority to administer the document storage space in the Organization Account and the documents stored therein.

Special Note : In case of any inconsistency of the interpretation of the same term between this Agreement and the<WPS Office Online Service Agreement>, this Agreement shall prevail. The terms that have not been defined in this Agreement shall continue to be governed by the relevant interpretations in the <WPS Office Online Service Agreement>.

I. Use of the Service

1.
Content of the Service. The Service is the relevant service provided by WPS Office to the User for the purpose of facilitating the User’s multi-person collaborative edit of online documents through different terminal devices, which mainly includes WPS Docs Service, WPS To-Do, WPS Spreadsheet, WPS Meeting, WPS Calendar and other services that may be launched and included in the scope of WPS Docs Online Service, the specific service shall be subject to the service we actually provide. We only permit the User to use the Service within Chinese Mainland.
2.
Limitations. Neither you nor the organization you represent may decompile, disassemble, or otherwise reverse engineer any content contained in the Service or circumvent any technical limitations of the Service. Neither you nor the organization you represent may disable, tamper with, or otherwise attempt to circumvent any billing mechanism (including any mechanism of measuring the User’s use of the Service). The Service is only for your use, and you are not authorized to transfer, sublicense, lease, loan, or share any part or all of the Service in any way to or with any party other than you at any time. You must access or use the Service in a manner that will not infringe upon any rights of us or any third party. In case of any conflict between this paragraph and any other provision of this Agreement, this paragraph shall prevail.
3.
Cloud Docs.
3.1
The User acknowledges and agrees that for the cloud backup service in the Service, once the User chooses to activate the Service, the local documents that the User has accessed, edited, or saved through a specific version of WPS Office software or WPS Docs software client before the Service is activated will be automatically uploaded to the cloud for backup so as to prevent any inconvenience to the User as a result of any accidental loss of documents.
3.2
We will allocate the corresponding size of space to the User based on his/her category of privileges, and the size of space will vary depending on the category of privileges.
3.3
The size of an individual document you upload to the cloud space will vary depending on the membership privileges you have.
3.4
The number of cloud docs teams and cloud docs team members may vary depending on the membership privileges you have. With respect to the excess of the above, we refuse to provide the Service. When the number of cloud docs team members you have opened reaches the maximum number of the same, you will not be able to continue to add members to that team until you or the organization you represent has expanded the capacity by subscribing to the paid service provided by us to upgrade the membership privileges.
3.5
The User acknowledges and agrees that we determine whether a document opened and saved by the User at different times and on different devices is the same document on the basis of the ID of the device on which the document was created, the creation time of the document, the time of modification, and whether the path is the same, and that if the device on which the document was created is reinstalled, the creation time of the document that is opened and saved is missing, or the creation time of the document is revised by the User or any third party, then we may make a wrong determination on whether the document is the same or not, thereby resulting in the confusion in the automatic synchronization of records.
4.
Document Storage Space and User Data. The User shall be solely responsible for the content of his/her User Data (if the User is authorized by an organization to use the Service, that organization shall bear joint and several liabilities with the User; if the User is invited to join a team to use the Service, the team administrator shall bear joint and several liabilities with the User) and shall ensure that he/she has the right to store the User Data on our system and to transmit, distribute, and share the User Data through the Service to avoid our infringement on the rights of any third party or causing us to incur any obligation to the User or any third party.
5.
The User shall also bear the responsibility for identifying whether the User Data should be stored in the personal document storage space or in the document storage space allocated to the User by an Organization Account, and we recommend that the User stores the User Data on which the User individually has the ownership and use right in the personal document storage space, and stores the User Data on which the organization has the ownership and use right in the document storage space allocated to the User by the organization. The User must acknowledge and recognize that the Organization Account shall have the right to change the authority to use the document storage space allocated to the User at any time, and that once such authority is changed, the User will lose the control over the document storage space and all or part of the data stored therein. If you register, subscribe, renew or add subscriptions to the Service on behalf of an organization or manage the Service through the back-end management of the Service, you shall instruct the organization to request the users within the organization to store the User Data on which the organization has the ownership and use right in the document storage space allocated to them by the organization. Any controversy or dispute arising from the storage of the User Data shall be resolved by the organization and the User.
6.
The User Data in a team account of the team that the User establishes/is invited to join may occupy the User’s personal document storage space or the team document storage space of the User’s team, subject to the instructions on the service page of the specific service used by the User.
7.
If the User Data in a team account of the team that the User establishes/is invited to join occupies the User’s personal document storage space, we recommend that the User stores the User Data on which the User individually has the ownership and use right in the personal document folder, and stores the User Data shared by the Team in the corresponding team account. 7.The User must acknowledge and recognize that the team administrator shall have the right to change the authority to use the team account and cancel the team account at any time, and that once such authority is changed, the User will lose the control over the team account and all or part of the data stored therein, and once the team account is canceled, the User will not be able to access or check the team account and all the data stored therein. Any controversy or dispute arising from the storage of the User Data shall be resolved by the User.
8.
If the User Data in a team account of the team that the User establishes/is invited to join occupies the team document storage space of the User’s team, we recommend that the User stores the User Data on which the User individually has the ownership and use right in the personal document storage space, and stores the User Data shared by the Team in the document storage space allocated to the User by the Team. The User must acknowledge and recognize that the team administrator shall have the right to change the authority to use the document storage space allocated to the User at any time, and that once such authority is changed, the User will lose the control over the team document storage space and all or part of the data stored therein, and once the team account is canceled, the User will not be able to access or check the team document storage space of the Team and all the data stored therein. Any controversy or dispute arising from the storage of the User Data shall be resolved by the User.
9.
Third-party Products/Services. The Service may include third-party products and/or services. The use of third-party products and/or services will be subject to relevant policies of the party who is entitled to such third-party products and/or services. The User is required to comply with the requirements under the agreements attached to such third-party products and/or services when using such third-party products and/or services. By installing and using third-party products and/or services, the User is deemed as having understood and agreed to comply with this Agreement and all agreements attached to such third-party products and/or services. If the User suffers losses in the use of the Service arising out of the services and resources provided by a third party other than WPS Office, you and the organization you represent may only make claims against the third party, WPS Office will provide assistance for the same to the extent possible.
10.
Media Elements. The User may use, reproduce, demonstrate and display (the “Use”) the media elements contained in the Service (including images, clip art collections, animations, sounds, music, video clips, templates and other forms of content) in documents, but such Use shall not be deemed to acquire any intellectual property right in any media element. If you are an individual user, you may use such media elements for personal non-commercial purpose only, i.e., personal study, research, office or any other purpose which is not for profit. If you are an organizational user, the scope of your license in relation to such media elements is subject to the specific scope of license obtained by the organization.
11.
Fonts. The font service that is obtained by an individual user under the Service for free may be used for personal non-commercial purpose only, i.e., the use thereof is limited to screen display and printing; with respect to the font service obtained by an individual user on a paid basis, the specific non-commercial purpose or commercial purpose for which such service is used and the specific scope of the commercial purpose shall be subject to the authorization as indicated on the website at the time of purchase. The scope of authorization granted by an organizational user shall be subject to the specific scope of authorization obtained by the organization. The User shall not reproduce, distribute, sell, lease, distribute through information networks, translate, offer for sale, provide, license, use or otherwise utilize the acquired font service to or for the benefit of any third party.
12.
Hardware and Network Resources. The use of the Service will consume resources, such as terminal equipment and bandwidth, of you and/or the organization you represent, and you and/or the organization you represent shall be equipped with hardware and software and bandwidth, and bear the costs arising therefrom, such as acquisition costs of hardware and software, bandwidth costs, telephone fees, SMS fees (if any), etc.
13.
Updates. We have been always developing new technologies and features, and in order to achieve continuous improvement, we may add or remove certain features, increase or reduce service restrictions, start the offering of new services, or cease the offering of old services. Furthermore, we may add, delete, replace or adjust the content and delivery means of the Service, modify and change the charging model, rates and methods of the Service, as well as start charging for the services that are currently available for use without charge, each of the above is based on actual operating conditions. Prior to the above modifications, changes or commencement of charges, we will give a notice or announcement of them on the respective service page.

II. Content of the Service

1.
We encourage you to make full use of the Service to freely produce, reproduce, publish and transmit your own information content, including but not limited to registration information and authentication materials, such as avatar, name and description, of your WPS Office Online Service Account, and words, documents, pictures, audio and video, links and other content sent and other content generated by using the WPS Office Online Service Account (hereinafter referred to as the “Information Content”), but you shall not produce, reproduce, publish, transmit illegal Information Content, and shall consciously prevent and resist malicious information. You acknowledge and recognize that the agreement of you and the organization you represent to comply with all the provisions of the WPS Office Content Code of Conduct is a condition precedent to your use of the Service to produce, reproduce, publish and transmit relevant Information Content, otherwise, you may not use the Service to produce, reproduce, publish or transmit any Information Content.
2.
You agree and accept that WPS Office may supervise the content published or disseminated in your use of the Service and take appropriate actions in accordance with the law, as required by relevant laws, regulations, national policies, other provisions or the requirements of relevant competent authorities, including stop the transmission of any illegal content and malicious information, keep relevant records, and report to relevant authorities.
3.
If you violate any law or regulation, or infringe on the legitimate rights and interests of any third party, including the cases that we discover or become aware of upon receipt of a report/complaint from others, we shall have the right to take measures to verify, forward notices of and block the relevant reported/complained content in accordance with relevant laws and regulations, and to suspend or terminate the provision of relevant services, including but not limited to inability to open or share documents and account blocking, etc.
4.
To promote the content sharing and dissemination, with respect to the content you upload and post in the WPS Document Discovery Community, you and the organization you represent agree to grant us and/or our partners a free, permanent and worldwide license to display, disseminate through the information network, promote, and make available for other users to view, read, save, download, and share such content in the Service and the products involved in the Service. You and the organization you represent agree that we have the right to modify the above content on our own or by a third party as authorized by us, as appropriate, and that we and/or our partners have the right to use all or part of the above content (as amended) in an appropriate manner in any publicity or promotion related to the above content, the Discovery Community, and the Service. You and the organization you represent may terminate the above license granted to us and/or our partners at any time by sending a written notice to us.
5.
You and the organization you represent are required to use any content or information obtained by you from the WPS Document Discovery Community in a lawful and contractual manner, and neither you nor the organization you represent is permitted to make any commercial use of such content or information, or reproduce, distribute, sell, lease, disseminate through the information network, translate, offer for sale, provide, license, use or otherwise utilize (except in accordance with “reasonable use” as provided by the law) any part or all of such content to or for the benefit of any third party without the consent of relevant rights holder.

III. Advertisements

1.
The User recognizes that we have the right to display advertisements through any of our products, on any page, at any location and/or at the time when we provide the Service to the User, whether for our own products/services or for third-party products/services.
2.
The User agrees that the authenticity and reliability of advertisements appearing in the Service shall be determined by the User carefully and that the User shall be responsible for the actions that have been taken as a result of such advertisements, unless otherwise expressly provided by the law.
3.
The User shall acknowledge that the content of the advertisements presented to the User as a part of the Service may be protected by intellectual property rights. The User shall not reproduce, modify, distribute, disseminate through the information network such content (whether in whole or in part) or create any derivative work based on such content.

IV. Distribution and Withdrawal of the Service

1.
The organization you represent shall have the right to allocate the Service to which it subscribes to the organization administrator account or member account through the organization administrator account, and each number of users of the Service shall be allocated to one account only within your organization account. You, the organization you represent (if any) and the organizational user acknowledge and recognize that you or the organization you represent shall have the right to withdraw the Service allocated to the organizational users through the administrator account at any time, and that once you or the organization you represent withdraws the Service under an account allocated by you or the organization you represent, the account will no longer be entitled to use any content of service in the Service, and any dispute arising therefrom and any losses to you, the organization you represent or any organizational user shall be borne by you or the organization you represent.
2.
If you create a team as an individual user, you have the right to allocate the Service to which you subscribe and related interests, and each number of users of the Service and related interests shall be allocated to one account only within the team account you create. You acknowledge and recognize that you shall have the right to withdraw all/part of the Service and related interests allocated to the users through the team administrator account at any time, and once you withdraw all/part of the Service and related interests under an account allocated, the account will no longer be entitled to use any content of service and interests in the Service, whether in whole or in part, and any controversy or dispute arising therefrom shall be resolved by the User.

3.If you are invited to join a team, you acknowledge and recognize that all/part of the Service and related interests allocated to you by the team administrator may be withdrawn by the team administrator at any time, and once all/part of the Service and related interests allocated to you by the team administrator have been withdrawn, the account will no longer be entitled to use any content of service and interests in the Service, whether in whole or in part, and any controversy or dispute arising therefrom shall be resolved by the User.

V. Term and Termination of the Service

1.
Term. The term of this Agreement shall be the same as the term of the Service to which the User is entitled.
2.
Termination. If we, in our sole discretion, terminate the operation of one or more of the services that are charged separately in the Service, we will refund in relation to the portion that you and/or the organization you represent have subscribed to but not yet used in the terminated services that are charged separately, subject to the then published refund rules.
3.
Certain services of the Service may source from other third-party partners, and such content may be cancelled or changed as a result of the end or termination of our cooperation agreement with third-party partners or changes in the cooperation model, and you are expressly aware of the above uncertainties, and once such part of the Service is cancelled or changed as a result of the end or termination of our cooperation agreement with third-party partners or changes in the cooperation model, and if such part of the Service is made available to you for free, you will be unable to use such part of the Service anymore; if you and/or the organization you represent have paid us for such part of the Service, we will endeavor to negotiate with the third party and, subject to the consent of the third party, you may use such part of the Service until the fees paid for such part of the Service have been used up; if the third party does not agree to your continued use of such part of the Service, we will refund the remaining fees to you after deducting a certain percentage of the service fees paid based on your actual use.
4.
In any case other than the foregoing, we are not required to refund any service fees to you and/or the organization you represent, and in case of any conflict between this paragraph and the other provisions of this Agreement, this paragraph shall prevail.

VI. Changes to the Agreement

1.
You and/or the organization you represent acknowledge and recognize that this term and other individual service agreements have to be changed as a result of any change in the services we provide and the laws applicable to you and/or the organization you represent and us.
2.
No amendment or modification to the terms of this Agreement and/or other individual service agreements (other than those changes made by us as described herein) will be valid unless a written agreement is entered into by and between you and/or the organization you represent and us to expressly change the terms of this Agreement and/or other individual service agreements.

VII. Notices

1.
All notices to you and/or the organization you represent and/or the User may be delivered through website announcements, emails, pop-ups, general in-site mails or SMS in relation to the Service. Other important matters may be notified in the same manner.
2.
The notices will be deemed to have been duly given to the intended recipients on the date sent or announced. We shall not be liable for the failure of the email address of you and/or the organization you represent and/or the User to receive our notices sent to the email address provided by you and/or the organization you represent and/or the User due to special reasons (which include, without limitation, invalid email address provided by you and/or the organization you represent and/or the User, email filtering of the email address provided by you and/or the organization you represent and/or the User, email blocking function).

VIII. Defaults and Liabilities

Any breach of provisions of this agreement shall constitute a breach of the WPS Office Online Service Agreement, you will bear defaulting liabilities in accordance with the provisions on breach of contract and handling thereof set forth in the WPS Office Online Service Agreement.

IX. Miscellaneous

1.
This Agreement shall be a legal agreement between you and/or the organization you represent and us regarding the use of the Service by you and/or the organization you represent, and this Agreement (including but not limited to the amendments, supplements, etc. to this Agreement, the same below) shall take effect on the date first written above, or if no such date is stated in the Agreement, then this Agreement shall take effect on the 7th day as of on-line issuance. At the same time, this Agreement shall be binding on both parties after you have checked the “Agree” box (the specific wording of which shall be subject to those as stated on the page), and the specific time shall be subject to the time as recorded in our system.
2.
We may also consider that you, the organization you represent and all users agree to all the terms of this Agreement, to the extent reasonable and legal, if you:

Click to log in the Service;
2.2
Actually use the Service;
2.3
Actually use any products or services (if any) provided by us together with the Service;
2.4
Actually use any products or services (if any) provided by third parties together with the Service.
3.
The conclusion, execution and interpretation of this Agreement and the settlement of disputes shall be governed by the laws of the People’s Republic of China.
4.
If any dispute arises between the parties regarding the content or execution of this Agreement, the parties shall endeavor to resolve it through amicable negotiation; if such negotiation fails, either party may bring a lawsuit to a people’s court of competent jurisdiction in the place of registration of Zhuhai Kingsoft Office Technology Co., Ltd.
5.
If any individual provision of this Agreement is determined to be invalid or unenforceable by any legal or regulatory body of competent jurisdiction, such determination shall be limited to such invalid or unenforceable portion and shall not affect the remaining portion of such individual provision or any other part of this Agreement, so that the remaining part of this Agreement shall remain in full force and effect.
6.
This Agreement shall be deemed as a supplementary agreement to and an integral part of the WPS Office Online Service Agreement (available at 【https://www.wps.cn/privacy/clean_account/】 . If such link address is changed, the content corresponding to the changed link address shall prevail; in case of any change to any other link address, the above provision shall apply), the matters not covered by this Agreement shall be governed by the WPS Office Online Service Agreement, the matters not covered by the WPS Office Online Service Agreement and the conflicts or discrepancies between this Agreement and the WPS Office Online Service Agreement shall be governed by the latest updated version of this Agreement (if any).
7.
The Discovery Community Service is a sub-service of the Service, if you and/or the organization you represent need to use the Discovery Community Service, then you and/or the organization you represent must agree to and comply with the Discovery Community Service Use Agreement on the basis of this Agreement.
8.
For ease of reading and understanding, this Agreement will be translated into multiple versions in other languages, and in case of any conflict between different versions, the Simplified Chinese version of this Agreement shall prevail.
